Belgian Act transposing the Mobility Directive published in Belgian Official Gazette

On 6 June 2023, the Belgian Act of 25 May 2023 transposing the Mobility Directive into Belgian law, was published in the Belgian Official Gazette. The Act changes the applicable rules for (cross-border) mergers, demergers and conversions. In particular, the Act introduces additional measures to protect the interest of shareholders, employees and creditors.
As a special transitory measure, the Act provides that the new rules will only apply to domestic and cross-border mergers, demergers and conversions for which the proposal is filed as of 16 June 2023 (the date of entry into force of the Act). This means that ongoing restructurings whereby the proposal has already been filed prior to the entry into force can be completed on the basis of the current (old) rules.
